Under the agreement, Metaplanet is set to invest a total of approximately $170 million, comprising 2,100 bitcoins and $2.5 million in cash. This capital infusion will enable Super League to enhance its operational capabilities.

In exchange for this investment, Metaplanet will receive:

• 44.86 million common shares at a price of $3.00 per share
• Convertible preferred stock
• 10-year warrants to purchase up to 381 million additional shares

Furthermore, Metaplanet will retain the option to invest an additional $210 million through non-convertible preferred stock within a two-year period following the closing of this transaction.

Corporate Name Change and Future Plans

As part of the investment initiative, SLE will undergo a transformation, rebranding as Superplanet. The company will begin trading under the ticker symbol SUPA on the Nasdaq exchange. Notably, Superplanet will continue to operate its advertising and media activation business as a separate segment, preserving its existing operational structure.

Lock-Up Period and Market Response

To maintain market stability, Metaplanet has agreed to a five-year lock-up on specific shares acquired through this transaction. This commitment aims to provide investor confidence as the company transitions into its new phase.
